Public Offer Agreement
This Public Offer Agreement (hereinafter referred to as the “Agreement”) is a legally binding document between Ivanhoe Digital, represented by Private Entrepreneur (PE) IVAN PALII, identified by Individual Taxpayer Number (ITN) 3436113438, residing in Ukraine, region Kirovohradska, district Malovyskivskyi, village Onykiieve, street Makhynko, building 12, 26244 (hereinafter referred to as the “Company”), and the User (hereinafter referred to as the “Customer”), collectively referred to as the “Parties,” and each individually as a “Party.”
1. Subject of the Agreement
1.1. The Company provides the following types of services (hereinafter referred to as the “Services”):
- Ready-to-use Looker Studio Templates
- Looker Studio Custom Templates Building
- Looker Studio Consulting
1.2. The Customer agrees to purchase the Services provided by the Company under the terms and conditions set forth in this Agreement.
2. Terms of Service
2.1. The terms of service, including but not limited to the description, price, and duration, shall be specified on the Company’s website at https://ivanhoe.pro/.
2.2. By accepting this Agreement, the Customer acknowledges and agrees to abide by the terms and conditions set forth by the Company.
3. Ordering Procedure
3.1. The Customer shall place an order for the Services through the Company’s website.
3.2. Upon receipt of the order, the Company shall confirm the acceptance and provide the Customer with further instructions regarding the provision of the Services.
4. Payment Terms
4.1. The price for the Services shall be determined based on the Company’s pricing policy specified on the website.
4.2. The Customer shall make the payment for the Services in accordance with the payment terms specified on the Company’s website.
5. Rights and Obligations of the Parties
5.1. The Company shall:
- Provide the Services to the Customer in accordance with the terms of this Agreement.
- Ensure the confidentiality and security of the Customer’s personal information.
5.2. The Customer shall:
- Provide accurate and complete information necessary for the provision of the Services.
- Pay the price for the Services in accordance with the terms specified in this Agreement.
6. Liability
6.1. The Parties shall be liable for the non-fulfillment or improper fulfillment of their obligations under this Agreement in accordance with the legislation of Ukraine.
7. Force Majeure
7.1. Neither Party shall be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure is due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, strikes, and government actions.
8. Miscellaneous
8.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
8.2. This Agreement may be amended or modified only by a written instrument executed by both Parties.
9. Governing Law and Dispute Resolution
9.1. This Agreement shall be governed by and construed in accordance with the laws of Ukraine.
9.2. Any dispute arising out of or in connection with this Agreement shall be resolved through negotiations between the Parties. If the Parties fail to reach a mutually acceptable resolution, the dispute shall be referred to the competent courts of Ukraine.
By accepting this Agreement, the Customer acknowledges that they have read, understood, and agreed to be bound by its terms and conditions.
